Special Conditions: The Contract Behind the Contract

Introduction

You have worked through the plans. You have compared the price. You may even have read the standard printed conditions. Then, near the back of the contract, you find several pages headed “Special Conditions”. They can look like an appendix. They are anything but.

A standard-form building contract is designed to be used across many projects. Special Conditions are where that standard bargain is often altered for the particular builder, project or commercial position. A few lines can change who carries a risk, when money is payable, what counts as delay, how selections must be made, or what happens if something outside either party’s control occurs.

That does not make Special Conditions improper. Many are sensible and necessary. The problem is signing them without understanding what they change.

Start with the right mental model

Think of the contract as a system, not a booklet. The front page, general conditions, schedules, Special Conditions, plans, specifications, engineering and other referenced documents can all form part of the agreement. A clause cannot safely be assessed in isolation.

Why builders use Special Conditions

Builders operate different businesses. There are legitimate reasons for project-specific conditions. The useful question is not “Why has the builder changed the contract?” It is “What has changed, why, and what does that mean for me?”

The hierarchy of documents matters

Contracts commonly contain a priority or precedence clause dealing with inconsistency between documents. If a plan says one thing, the specification another and a Special Condition something else, the priority clause may determine which prevails.

Common areas Special Conditions can affect

Price and mechanisms dealing with cost increases or allowances.

Time, extensions, owner delays and selections.

Variations and how they are priced.

Site conditions such as rock, fill, groundwater or access constraints.

Owner obligations and deadlines.

Payment, suspension, termination and dispute processes.

The cumulative effect is what matters

A single Special Condition may appear modest. Ten modest amendments can materially change the balance of the contract. Contract review is therefore less about identifying one dramatic clause and more about understanding how provisions interact.

Watch defined terms and cross-references

A Special Condition may change a definition or cross-reference another clause. Those changes can flow through several parts of the contract.

A practical way to read Special Conditions

What standard clause does this amend?

What risk is the clause dealing with?

Who carries that risk?

What must I do, and by when?

What happens if I do not comply?

Can the clause change price, time or both?

Does another clause magnify its effect?

The key lesson

The standard form tells you the starting position. The Special Conditions often tell you the actual deal.

Before You Sign

This guide provides general educational information for South Australian homeowners. It is not personalised legal advice. The effect of any issue depends on the wording of your own contract, schedules, Special Conditions, plans, specifications and the facts of the project. A good builder and a well-understood contract should work together. Before committing to one of the largest financial transactions you may ever undertake, consider having the actual contract reviewed so you understand the obligations, notice requirements and consequences before they are tested on site.
